Terms and Conditions

Effective Date: October 26, 2026 · Last Updated: October 26, 2026

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and piLabs Inc. ("piLabs", "we", "us", or "our"), governing your access to and use of the piLabs website, the piOS platform, πStudio, πLive, related cloud computing infrastructure, simulation engines, surrogate models, and software services (collectively, the "Platform" or "Services").

By accessing, browsing, or using our Services, registering an account, or interacting with our API, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease all use of the Platform.

2. Eligibility & Account Registration

You must be at least 18 years of age or possess the legal authority to enter into contracts on behalf of your research institution, laboratory, university, or company to access or use the Services.

To access certain features, including saving accelerator lattices, executing live surrogate predictions, and managing storage allocations, you must create an account. You agree to provide accurate, complete, and current information during registration and to maintain the security of your authentication credentials. You are solely responsible for all activities conducted under your account. If you suspect any unauthorized access to your account, you must promptly notify us at security@pilabs.org.

3. User Intellectual Property & Research Data

You retain complete ownership: You maintain 100% of your ownership, intellectual property rights, and proprietary interests in and to all accelerator lattice designs (.pie files), beamline geometry specifications, optic configurations, experimental datasets, simulation parameters, and custom telemetry files that you create, upload, or process through the Services ("User Data").

Limited license to piLabs: You grant piLabs a worldwide, non-exclusive, royalty-free license solely to store, parse, simulate, and render your User Data to the extent necessary to deliver the Services to you. We do not sell your research data, nor do we train public or multi-tenant machine learning models on your private designs without your explicit written authorization.

4. Computational Resources, Credits & Subscriptions

Access to cloud simulation runs, NVAR surrogate evaluations, and persistent session storage is subject to available compute tokens, storage limits, and plan tiers:

  • Free Tier & Weekly Recharge: Registered users receive periodic free compute allocations. Weekly free recharges do not accumulate indefinitely and may be subject to maximum caps.
  • Subscriptions & Paid Tiers: Paid subscription tiers (e.g., Founding Member or Pro tiers) are billed in advance on a recurring monthly or annual billing cycle via our third-party payment processor (Stripe). Subscriptions automatically renew unless cancelled prior to the renewal date.
  • Compute Top-Ups: One-time compute token top-ups are non-refundable once purchased and are dedicated exclusively to powering computation and storage on the piLabs platform.
  • Cancellation: You may cancel recurring subscriptions at any time through your Account Settings. Cancellation takes effect at the end of the current paid billing cycle, during which you maintain full access to paid features.

5. Physical Accelerator Systems & Simulation Disclaimer

CRITICAL NOTICE REGARDING PHYSICAL ACCELERATOR HARDWARE:

piOS, πStudio, and πLive provide computational physics simulations, mathematical approximations, surrogate neural models, and digital twin estimations. They are research, design, and analysis tools. They DO NOT substitute for physical machine protection systems, certified radiation interlocks, personnel safety systems, or validated experimental beamline commissioning protocols.

Under no circumstances shall piLabs be liable for any physical hardware damage, magnet degradation, beamline quenching, vacuum breaches, radiation incidents, experimental beam loss, or operational downtime incurred at any physical accelerator laboratory, synchrotron, or experimental facility resulting from the application or execution of settings, predictions, or parameters calculated by the Services.

6. Acceptable Use Policy

You agree that you will not:

  • Use the Platform for any purpose that violates local, national, or international laws or export control regulations.
  • Attempt to reverse engineer, decompile, or extract the proprietary source code of the simulation engines or backend clusters.
  • Circumvent compute limits, balance restrictions, or authentication controls through automated scripts or unauthorized scraping.
  • Transmit any malicious code, virus, worm, or disruptive payload designed to compromise platform stability.
  • Interfere with or disrupt the integrity or performance of the cloud compute cluster or shared user databases.

7. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY OF NUMERICAL CALCULATIONS, OR NON-INFRINGEMENT. PILABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PILABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, RESEARCH PROGRESS, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY NUMERICAL ERROR OR APPROXIMATION IN SIMULATION RESULTS; OR (C) ANY UNAUTHORIZED ACCESS OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL PILABS' AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100.00 USD) OR THE TOTAL AMOUNT PAID BY YOU TO PILABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination & Account Closure

You may terminate your account at any time via the Account Settings interface or by submitting a formal account deletion request. piLabs reserves the right to suspend or terminate your account or access to the Services immediately, with or without notice, in the event of any material violation of these Terms or abusive computational activity.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively through binding arbitration or in the state or federal courts located in the United States.

11. Modifications to Terms

We reserve the right to revise or modify these Terms at any time. When modifications are made, we will update the "Last Updated" date at the top of this document. Continued use of the Services following the publication of revised Terms signifies your acceptance of the changes.
